Terms & Conditions

1. Definitions
- "Service" — the AI integration setups provided by Batik Core, including the Design Brief Assistant, Order Intake Desk, and Quarterly Review.
- "Client" / "You" — the business or individual engaging Batik Core for services.
- "We" / "Us" / "Our" — Batik Core, registered in Malaysia, with offices at Blok F, Jalan Impact, 63000 Cyberjaya, Selangor.
- "Scope Note" — the written document agreed before each setup that specifies included and excluded scope.
- "Agreement" — these Terms and Conditions together with the Scope Note for any given setup.
2. Acceptance of Terms
By engaging our services, requesting a quote, or signing a Scope Note, you agree to these Terms. If you are entering these Terms on behalf of a business, you confirm you have authority to bind that business.
Our services are provided to businesses and individuals aged 18 or over. If you are under 18, you may not engage our services.
3. Service Description
Batik Core provides AI integration setup services for small businesses, principally studios and made-to-order manufacturers operating in Malaysia. Services include:
- Design Brief Assistant — an AI drafting tool built from the client's past briefs (RM 123 per setup)
- Order Intake Desk — a conversational intake tool for made-to-order enquiries (RM 398 per setup)
- Quarterly Review — a structured review of running setups with adjustments and written summary (RM 588 per review)
Services are currently provided to clients based in Malaysia. We may accept enquiries from clients outside Malaysia on a case-by-case basis.
4. Client Responsibilities
- Provide accurate information during scoping and setup, including past briefs and question sets as required
- Ensure that any client or third-party data shared with us during setup has been obtained lawfully
- Review AI-generated drafts before sending them to end clients — the setup produces drafts for your review, not final communications
- Notify us promptly if the setup is producing outputs that appear incorrect or out of scope
- Use our services only for lawful purposes
5. Intellectual Property
The setup configurations, templates, and methodology developed by Batik Core remain our intellectual property. You receive a non-exclusive, non-transferable licence to use the setup outputs for your studio's operational purposes.
Documents you provide (past briefs, question sets, templates) remain your property. We use them only for the purposes described in the Scope Note.
6. Payment Terms
All prices are in Malaysian Ringgit (RM) and include applicable taxes unless stated otherwise. Invoices are due within 14 days of issue. Setup work begins only after payment is received.
Refund policy for setups: If we are unable to complete a setup due to circumstances on our side, a full refund will be issued. If a setup is completed and you are dissatisfied, we will discuss the issue and, where the scope note obligations have not been met, we will either remedy the issue or issue a partial refund at our discretion.
Quarterly Reviews are non-refundable once the review has been delivered in written form. If a review is booked but we cannot deliver it due to circumstances on our side, a full refund applies.
7. Service Delivery Terms
Each setup is governed by a Scope Note agreed before work begins. The Scope Note takes precedence over these general terms in the event of a conflict regarding what a specific setup should deliver.
Timeline: Typical setup time is 10–14 days from receipt of required materials. Delays caused by late provision of materials by the client do not constitute a breach by Batik Core.
Scope changes: Changes to agreed scope after setup has commenced will be treated as a new scoping conversation and may incur additional fees.
Confidentiality: We treat all client documents and business information as confidential and will not share them with third parties except as required to deliver the service.
8. Disclaimers
AI-generated outputs are drafts for human review. We do not warrant that outputs will be error-free or suitable for every use case without review. The client is responsible for reviewing and approving all AI-generated content before it is used in client communications.
Our services are provided to support your studio's operations. They are not a substitute for legal, accounting, or other professional advice.
9. Limitation of Liability
To the extent permitted by Malaysian law, our total liability to you in connection with any setup or service shall not exceed the amount paid for that specific setup or review.
We are not liable for: indirect or consequential losses; loss of revenue or profit; losses arising from your use of AI-generated outputs without review; or force majeure events including network outages, platform unavailability, or natural disasters.
10. Termination
Either party may end the service relationship by written notice. If a setup is terminated by the client after work has begun but before delivery, we will invoice for work completed to the termination date.
We may terminate a client relationship immediately if: the client uses our services for unlawful purposes; the client provides false information material to the Scope Note; or payment is more than 30 days overdue despite notice.
11. Dispute Resolution
These Terms are governed by the laws of Malaysia. In the event of a dispute, we request that you contact us first at [email protected] so that we can attempt to resolve the matter informally within 14 days.
If informal resolution fails, disputes shall be submitted to the jurisdiction of the courts of Selangor, Malaysia.
12. General Provisions
- Entire agreement: These Terms together with the applicable Scope Note constitute the full agreement between the parties for that service.
- Severability: If any provision is found unenforceable, the remaining provisions continue to apply.
- Waiver: Failure to enforce any provision does not constitute a waiver of future enforcement.
- Assignment: You may not assign your rights or obligations under these Terms without our written consent.
- Notices: Formal notices should be sent to [email protected].
13. Changes to These Terms
We may update these Terms. Material changes will be communicated by email to active clients at least 14 days before they take effect. Continued engagement with our services after the effective date constitutes acceptance.
